Terms & Conditions for WABPO (Spadasoft)

1. Introduction

These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Spadasoft (PRIVATE) LIMITED, doing business as WABPO.

By using our platform, website, mobile application, or related services, you agree to be bound by all terms outlined below. If you do not agree with any part of these Terms, please do not use our Services.

2. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms apply to all users of our site, including visitors, customers, and registered users.

We reserve the right to change, modify, or revise these Terms from time to time, with updates reflected by the "Last updated" date. Continued use of our Services constitutes acceptance of the revised Terms.

3. Changes to the Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms. It is your responsibility to review these Terms periodically for any updates.

4. Eligibility

To use our Services, you must be at least 18 years old or possess legal parental or guardian consent. By using the platform, you represent and warrant that you meet the eligibility requirements and can form a legally binding contract.

5. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

Notify us immediately if there are any unauthorized uses of your account. Two-factor authentication (2FA) is required for all users to ensure security. Failure to enable 2FA may result in restricted access to your account.

6. Use of Services

You agree to use our Services in accordance with applicable laws and only for lawful purposes. You are prohibited from using our platform to:

• Engage in illegal activities
• Distribute malicious software
• Infringe on intellectual property rights
• Interfere with the normal operation of the platform

7. Fees and Payment

We accept payments via:

• Visa
• Mastercard

Certain services require payment, and you agree to provide accurate and up-to-date payment information. We bill you through an online billing account, and sales tax will be added as applicable. All payments are processed in INR/USD.

8. Subscription and Free Plan

We offer a FREE forever plan for all users who register, keeping their accounts active without charge for a lifetime.

New users receive a 14-day free trial for premium features. After the trial, you will revert to the free plan unless you choose to upgrade.

9. Cancellation and Refunds

You may cancel your subscription at any time, but cancellation will take effect at the end of your current billing cycle. Refunds are not provided for the remaining period of the subscription except under specific conditions such as technical issues or unauthorized charges.

10. User Content

You may upload content to our platform. By doing so, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute your content in connection with the Services. You retain ownership of your content.

11. Intellectual Property

All intellectual property rights to our platform, including logos, software, and content, are owned by WABPO or its licensors. You are granted a limited license to use our Services for personal or business purposes only.

12. Prohibited Activities

You agree not to:

• Use the platform for commercial purposes without authorization
• Distribute content without permission
• Disrupt the functionality of the platform
• Engage in unauthorized data mining, scraping, or use of automated tools

13. Mobile Application License

If you use our mobile application, we grant you a non-transferable license to use the app on your mobile device. You agree not to decompile, reverse-engineer, or misuse the application in any way.

14. Privacy

Your use of the platform is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information.

15. Third-Party Services

Our Services may contain links to third-party websites or services not controlled by WABPO. We are not responsible for the content or practices of these third parties. Any use of third-party services is at your own risk.

16. Limitation of Liability

WABPO is not liable for any indirect, incidental, special, or consequential damages arising from your use of our Services, including loss of data or business opportunities, even if we were advised of the possibility of such damages.

17. Indemnification

You agree to indemnify and hold WABPO harmless from any claims, damages, losses, or expenses arising from your use of the platform, your breach of these Terms, or your violation of third-party rights.

18. Termination

We reserve the right to suspend or terminate your access to our platform at any time for any reason, including for violations of these Terms. Upon termination, your right to use our Services will cease.

19. Governing Law

These Terms are governed by the laws of Pakistan and UAE, without regard to conflict-of-law principles. Disputes will be resolved in the appropriate courts located in these jurisdictions.

20. Dispute Resolution

Any disputes related to these Terms will be resolved through arbitration in the applicable city and country. The arbitration process will be binding, and the decision will be final.

21. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and WABPO regarding your use of our Services. Any previous agreements or understandings are superseded by this document.
